Terms of Service
These Terms of Service ("Terms") are an agreement between you and Recoura Technologies LLC ("Recoura," "we," or "us") governing your use of the Recoura website and application (together, the "Service"). By creating an account, connecting a payment processor, or otherwise using the Service, you agree to these Terms. If you are using the Service for a business, you agree on its behalf and confirm you are authorized to do so. If you do not agree, do not use the Service.

1. What Recoura does
Recoura helps you recover failed subscription and invoice payments from your connected Stripe or Square account. It surfaces the payments that failed, and, at your direction, prepares and sends recovery invoices and reminders through your processor, either automatically on a schedule you set or manually by a person on your team. Recoura does not process, hold, or move money; every charge and settlement happens through Stripe or Square under your existing agreements with them. Recoura is a tool to assist your recovery efforts, and does not guarantee that any particular payment will be recovered.
2. Eligibility & accounts
You must be at least 18 years old and able to enter a binding contract to use the Service. You are responsible for the information in your account, for keeping your login credentials secure, and for all activity that occurs under your account. Tell us promptly at support@recoura.io if you suspect unauthorized use.
3. Connecting Stripe and Square
To use the recovery features you connect a Stripe or Square account through that provider's official authorization flow. By connecting, you represent that you own or are authorized to act on that account, and you authorize Recoura to access it and to prepare and send communications through it within the scope you approve. You can revoke that access at any time from your Recoura settings or your processor's dashboard, and doing so will stop Recoura from acting on the account. Your use of Stripe and Square remains subject to their own terms.
4. Your responsibilities
You are responsible for how you use the Service, including:
- Ensuring you have a lawful basis and any consent required to contact your customers about their payments.
- The accuracy of the account and billing information you provide.
- Complying with all laws that apply to you, including consumer-protection, debt-collection, tax, and anti-spam laws such as the CAN-SPAM Act.
- The content of any message you send or schedule, and your use of any output from our optional AI features, such as AI-drafted reminders or the AI recovery assistant, which you are responsible for reviewing before you send a message or act on a suggestion.
5. Customer communications
When Recoura sends a recovery invoice or reminder, it does so on your behalf and at your instruction, and you are the sender of record. You are responsible for the substance of those communications and for their compliance with applicable law. Before any message is sent, automatic or manual, Recoura's Recovery Guard checks the payment against your live processor data to avoid contacting a customer about a payment that has already been made, is still being retried, or is already being handled. This safeguard reduces the risk of duplicate requests but is not a guarantee, and you remain responsible for the communications made through your account.
6. Plans, billing & trials
Recoura offers a free dashboard plan and paid plans, currently Recovery and Growth, described on our pricing page. Paid plans may include a free trial; unless you cancel before the trial ends, your plan converts to a paid subscription and your payment method is charged.
Paid plans are billed in advance on a recurring basis through our third-party payment processor, and renew automatically for successive periods until you cancel. You can cancel at any time from your account settings, and cancellation takes effect at the end of your current billing period. Except where required by law, fees already paid are non-refundable, and we do not provide partial-period refunds. We may change our prices or plan features, and will give you reasonable notice of any change that affects a plan you are on before it takes effect. Promotional or discounted pricing applies only as described at the time of the offer.
7. Acceptable use
You agree not to:
- Use the Service for any unlawful, deceptive, harassing, or abusive purpose, or to send spam.
- Connect an account you are not authorized to use, or submit information that is false or misleading.
- Interfere with, disrupt, probe, or attempt to gain unauthorized access to the Service or its infrastructure.
- Reverse engineer, copy, resell, or create derivative works from the Service, except where the law expressly permits it.
- Use the Service to violate the terms of Stripe, Square, or any other connected provider.
We may suspend or limit access if we reasonably believe your use violates these Terms or poses a risk to the Service or others.
8. Intellectual property
Recoura and its licensors own the Service, including its software, design, and content, and all related intellectual property rights. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms while your account is active. You retain all rights to your own data, and nothing in these Terms transfers ownership of it to us.
9. Third-party services
The Service connects with third-party services you choose to use, such as Stripe, Square, Slack, and Microsoft Teams. Those services are provided by their own operators under their own terms, and we are not responsible for them, their availability, or how they handle your data. Your relationship with each of them is between you and them.
10. Your data
Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms. With respect to information about your customers that we process to provide the Service, you are the controller and we act as your service provider, processing that data only on your instructions and as needed to provide the Service. You are responsible for having the rights and permissions needed for us to process that data on your behalf.
11. Term & termination
These Terms apply for as long as you use the Service. You may stop at any time by canceling your subscription and closing your account. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if continuing to provide the Service is no longer commercially reasonable, and we will give you notice where practical. On termination, your right to use the Service ends, and we will handle any remaining data as described in the Privacy Policy. Sections that by their nature should survive termination, including sections 8 and 12 through 17, will survive.
12. Disclaimer of warranties
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, that it will recover any particular payment, or that it will meet your requirements. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
13. Limitation of liability
To the fullest extent permitted by law, Recoura and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenues, data, or goodwill, arising out of or relating to the Service, even if we have been advised of the possibility. Our total liability for all claims relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or one hundred U.S. dollars if you have paid us nothing. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
14. Indemnification
You agree to indemnify and hold harmless Recoura and its owners, employees, and suppliers from any claims, damages, losses, and expenses, including reasonable legal fees, arising out of your use of the Service, your data, your communications with your customers, or your violation of these Terms or of any law or third-party right.
15. Governing law & disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Before filing a claim, you agree to first contact us at support@recoura.io and try in good faith to resolve the dispute informally. Any dispute that is not resolved will be brought exclusively in the state or federal courts located in California, and you and Recoura consent to the personal jurisdiction of those courts.
16. Changes to these Terms
We may update these Terms as the Service evolves or the law changes. When we make a material change we will update the date above and, where appropriate, notify you by email or in the app. Continuing to use the Service after a change takes effect means you accept the updated Terms.
17. General
These Terms, together with the Privacy Policy, are the entire agreement between you and Recoura regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our not enforcing a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control. Notices to you may be sent to the email associated with your account.
